CUSTOMER TERMS AND CONDITIONS
These Customer Terms and Conditions ("Terms") govern the use of the Takhlees Alaamal platform, website, mobile application, and related services (collectively, the "Platform").
By registering, accessing, browsing, requesting services, making payments, or otherwise using the Platform, you ("Customer", "User", "End User") agree to be legally bound by these Terms.
1. DEFINITIONS
"Platform" means Khalesaha website, mobile application, systems, software, employees, affiliates, and representatives.
"Customer" means any user requesting or purchasing services through the Platform.
"Service Provider" means any independent contractor, professional, vendor, freelancer, consultant, technician, or service provider registered on the Platform.
"Services" means all services offered through the Platform.
"Account" means the Customer's registered profile.
"Funds" means all payments made through the Platform.
"Dispute" means any disagreement between a Customer and a Service Provider.
2. ACCEPTANCE OF TERMS
By using the Platform, the Customer confirms that:
- They have read and understood these Terms.
- They agree to be bound by these Terms.
- They are legally capable of entering into binding contracts.
- They are the actual benefactor.
3. ELIGIBILITY
The Customer represents that:
- They are at least eighteen (18) years old or the legal age required under applicable law.
- Information provided is accurate and current.
- They are authorized to enter into this agreement.
4. PLATFORM ROLE
The Platform acts solely as:
- A technology platform;
- An intermediary;
- A facilitator;
- A payment administrator;
- An escrow manager.
The Platform is not the direct provider of services unless expressly stated.
Service Providers are independent contractors and not employees, agents, or representatives of the Platform.
5. ACCOUNT REGISTRATION
Customers shall:
- Provide accurate information.
- Maintain account security.
- Keep login credentials confidential.
The Customer is responsible for all activities conducted through their account.
6. SERVICE REQUESTS
Customers may request services through the Platform.
Submission of a request does not guarantee acceptance or completion.
The Platform reserves the right to reject or cancel requests.
7. PAYMENTS AND ESCROW
The Customer authorizes the Platform to:
- Collect payments;
- Hold payments;
- Administer escrow arrangements;
- Release payments upon satisfaction of Platform policies;
- Refund amounts when appropriate.
The Customer agrees that funds may be temporarily held while services are performed or disputes are investigated.
8. PRICING
Service prices shall be displayed through the Platform.
The Platform reserves the right to:
- Modify pricing structures;
- Add service fees;
- Charge processing fees.
Any applicable taxes may be added where required.
9. CUSTOMER OBLIGATIONS
Customers agree to:
- Provide accurate project information;
- Cooperate with Service Providers;
- Respond to requests reasonably;
- Not interfere with service delivery.
Failure to cooperate may affect refunds or dispute outcomes.
10. COMMUNICATIONS
Customers agree to use Platform communication channels where available.
The Platform may monitor communications for:
- Quality assurance;
- Fraud prevention;
- Compliance purposes.
11. PROHIBITED CONDUCT
Customers shall not:
- Use false identities;
- Submit fraudulent claims;
- Harass Service Providers;
- Request illegal services;
- Circumvent Platform procedures;
- Engage in abusive conduct.
- Grant Service Provider access to any personal and governmental accounts.
12. OFF-PLATFORM TRANSACTIONS
Customers agree not to:
- Arrange direct payments outside the Platform;
- Circumvent Platform fees;
- Solicit Service Providers outside the Platform for transactions initially sourced through the Platform.
Violation may result in account suspension, penalties and/or termination.
13. SERVICE PROVIDER PERFORMANCE
The Platform does not guarantee:
- Specific results;
- Completion times;
- Quality levels;
- Service Provider availability.
The Platform may assist in resolving issues but does not guarantee successful outcomes.
14. REPLACEMENT OF SERVICE PROVIDERS
The Platform reserves the right to replace a Service Provider where:
- Deadlines are missed;
- Progress is inadequate;
- Quality standards are not met;
- Customer interests require intervention.
15. CUSTOMER REVIEWS
Customers may submit ratings and reviews.
Reviews must:
- Be truthful;
- Be based on actual experiences;
- Not contain defamatory content.
The Platform may remove reviews at its discretion.
16. REFUNDS
Refund eligibility shall be determined in accordance with Platform policies.
The Platform may issue full or partial refunds where:
- Services were not delivered;
- Services materially deviated from agreed requirements;
- Fraud or misconduct occurred.
Refunds are not guaranteed and may be subjected to commissions and or fees.
17. DISPUTES
In the event of a dispute:
- The Platform may request evidence;
- Funds may be held;
- Communications may be reviewed;
- The Platform may mediate between parties.
The Customer agrees to cooperate fully and undertakes to provide the full needed documentation and evidence, failed to do so may affect outcomes.
18. PLATFORM MEDIATION
The Customer authorizes the Platform to act as mediator regarding disputes involving Platform transactions.
The Platform may:
- Review evidence;
- Determine allocation of escrowed funds;
- Issue binding platform decisions according to Platform policies.
19. INTELLECTUAL PROPERTY
All Platform intellectual property remains the exclusive property of the Platform.
This includes:
- Software;
- Branding;
- Trademarks;
- Databases;
- Content;
- Logos;
- Business methods.
No ownership rights are transferred to the Customer.
20. CUSTOMER CONTENT
The Customer grants the Platform a non-exclusive worldwide license to:
- Store;
- Process;
- Display;
- Transmit;
content uploaded through the Platform as necessary to provide services.
21. PRIVACY AND DATA PROCESSING
The Customer authorizes the Platform to collect, process, store, and use personal information in accordance with the Platform Privacy Policy and the laws of the Kingdom of Saudi Arabia.
22. FRAUD PREVENTION
The Platform may:
- Verify identities;
- Request documentation;
- Delay transactions;
- Freeze accounts;
- Report suspicious activity to authorities where required.
23. ACCOUNT SUSPENSION
The Platform may suspend, restrict, or terminate any account:
- For violations of these Terms;
- For suspicious activity;
- For legal compliance purposes;
- At the Platform's discretion.
24. NO WARRANTY
The Platform is provided on an "as available" and "as is" basis.
The Platform makes no warranties regarding:
- Availability;
- Reliability;
- Suitability;
- Accuracy.
25. LIMITATION OF LIABILITY
To the fullest extent permitted by law, the Platform shall not be liable for:
- Lost profits;
- Indirect damages;
- Consequential damages;
- Business interruption;
- Loss of data;
- Late in progressing work.
26. INDEMNIFICATION
The Customer agrees to indemnify and hold harmless the Platform from claims, losses, liabilities, and expenses arising from:
- Breach of these Terms;
- Violation of law;
- Misuse of the Platform;
- Infringement of third-party rights.
- Any of the Service Providers actions.
27. FORCE MAJEURE
The Platform shall not be liable for delays or failures caused by events beyond its reasonable control.
28. GOVERNING LAW
These Terms shall be governed by the laws of Kingdom of Saudi Arabia.
29. Disputes
Disputes arising under these Terms shall be resolved through the competent courts in Riyadh city of the Kingdom of Saudi Arabia.
30. CLASS ACTION WAIVER
The Customer agrees to bring claims only in an individual capacity and not as part of a class action.
31. ELECTRONIC CONSENT
The Customer undertakes that he read the full terms and conditions and has the legal capacity to agree and by registration, use of the Platform, or clicking "Accept" constitutes a legally binding electronic signature.
32. NO EMPLOYMENT, AGENCY OR PARTNERSHIP
The Customer acknowledges and agrees that Service Providers are independent third parties.
The Platform does not employ, supervise, direct, control, or manage Service Providers and shall not be responsible for the acts, omissions, negligence, misconduct, representations, warranties, or performance of any Service Provider.
Nothing in the Platform shall be construed as creating an employment, agency, partnership, franchise, or joint venture relationship between the Platform and any Service Provider.
33. NO GUARANTEE OF SERVICE PROVIDERS
The Platform does not guarantee:
- The qualifications of any Service Provider;
- Licensing status of any Service Provider;
- Professional competence;
- Availability;
- Suitability;
- Service quality;
- Accuracy of representations made by Service Providers.
Any verification conducted by the Platform shall not constitute a warranty or guarantee.
Customers are responsible for conducting their own assessment and due diligence.
34. CUSTOMER ASSUMPTION OF RISK
The Customer acknowledges that engaging Service Providers involves inherent risks.
The Customer assumes full responsibility for evaluating and selecting Service Providers and accepts all risks associated with services obtained through the Platform.
The Platform shall not be liable for losses arising from interactions between Customers and Service Providers.
35. INSPECTION AND ACCEPTANCE OF SERVICES
The Customer shall inspect completed services within the period specified by the Platform.
If the Customer fails to report a dispute within such period, the services shall be deemed accepted and satisfactorily completed.
The Platform may release escrow funds upon deemed acceptance.
36. DEEMED APPROVAL OF DELIVERABLES
Where a Service Provider submits completed work and the Customer fails to respond within the review period established by the Platform, the deliverables shall be deemed approved and accepted.
The Platform may release all associated funds accordingly.
37. CUSTOMER CANCELLATION POLICY
The Customer acknowledges that cancellation may result in:
- Cancellation fees;
- Administrative charges;
- Partial forfeiture of payments;
- Compensation payable to Service Providers.
The Platform reserves sole discretion regarding cancellation outcomes.
38. NO CASH PAYMENTS
The Customer shall not make any payment directly to a Service Provider for transactions initiated through the Platform.
Any direct payment shall be deemed a material breach of these Terms.
The Platform reserves the right to suspend or terminate accounts and recover lost fees and commissions.
39. PLATFORM COMMISSION DISCLOSURE
The Customer acknowledges that the Platform may receive commissions, transaction fees, service fees, subscriptions, referral fees, or other forms of compensation arising from transactions conducted through the Platform.
The Customer waives any objection to such compensation structures.
40. PLATFORM RIGHT TO REASSIGN PROJECTS
The Platform may transfer, reassign, or replace Service Providers where necessary to protect Customer interests, maintain service quality, resolve disputes, or ensure project completion.
The Customer agrees to cooperate with any reassignment.
41. CUSTOMER FRAUD AND ABUSE
The Platform may suspend or terminate accounts where the Customer:
- Files fraudulent claims;
- Requests unwarranted refunds;
- Manipulates dispute processes;
- Abuses review systems;
- Engages in harassment;
- Provides false information.
The Platform's determination shall be final.
42. CHARGEBACK PROTECTION
The Customer agrees not to initiate unjustified chargebacks.
If a chargeback is initiated improperly, the Platform may:
- Recover losses;
- Suspend accounts;
- Restrict future use;
- Pursue legal remedies.
The Customer remains liable for all costs associated with improper chargebacks.
43. PLATFORM DISCRETION IN DISPUTE RESOLUTION
The Customer acknowledges that the Platform may resolve disputes based upon:
- Available evidence;
- Platform records;
- Communications;
- Service documentation;
- Applicable Platform policies.
The Customer agrees that Platform decisions regarding escrow funds shall be binding unless otherwise required by law.
44. PLATFORM RIGHT TO RECOVER LOSSES
The Platform may recover any amounts owed by the Customer through:
- Offset against future transactions;
- Collection procedures;
- Legal proceedings;
- Retention of account balances.
45. SECURITY DEPOSIT AND RESERVE RIGHTS
The Platform may require security deposits or maintain reserve balances where necessary to:
- Protect against fraud;
- Cover disputes;
- Cover chargebacks;
- Protect Platform interests.
46. CUSTOMER DATA LICENSE
The Customer grants the Platform a perpetual, worldwide, non-exclusive, royalty-free license to store, process, analyze, reproduce, and use transactional data, anonymized data, analytics, and operational information for business, security, compliance, research, and service improvement purposes.
Personal data shall be handled in accordance with applicable privacy laws.
47. RIGHT TO MODIFY PLATFORM SERVICES
The Platform may modify, suspend, discontinue, replace, or remove any feature, service, category, pricing structure, functionality, or offering at any time without liability.
48. EMERGENCY SERVICE DISCLAIMER
The Platform is not an emergency service provider.
Customers shall not rely upon the Platform for emergency, life-threatening, medical, security, safety, or urgent services unless expressly stated otherwise.
49. LIMITATION PERIOD FOR CLAIMS
Any claim arising from use of the Platform must be brought within twelve (12) months from the date the cause of action arose.
Claims brought after such period shall be permanently barred to the extent permitted by law.
50. CUSTOMER REPRESENTATIONS
The Customer represents and warrants that:
- Information submitted is accurate;
- Requested services are lawful;
- Customer has authority regarding any property, assets, or locations involved;
- Customer will not use the Platform for unlawful purposes.
51. SURVIVAL OF RIGHTS
The following provisions shall survive termination:
- Payment obligations;
- Dispute resolution;
- Indemnification;
- Limitation of liability;
- Data rights;
- Confidentiality obligations;
- Intellectual property rights;
- Chargeback obligations.
52. PLATFORM'S ABSOLUTE DISCRETION
Except where prohibited by applicable law, the Platform may exercise any right, remedy, suspension, termination, investigation, refund, payment hold, account restriction, or enforcement action in its sole and absolute discretion.
The Customer agrees that such decisions shall not create liability for the Platform.
53. ENTIRE AGREEMENT
These Terms constitute the entire agreement between the Customer and the Platform and supersede prior understandings.
BY USING THE PLATFORM, THE CUSTOMER ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS.
